Terms and Conditions of Sale

1. GENERAL PROVISIONS

These general terms and conditions of sale (hereinafter ‘the Conditions’) apply to all sales of products, as well as to the services associated therewith, made through the Letscopes online shop (www.letscopes.com, www.letscopes.fr, www.letscopes.it, www.letscopes.de and www.letscopes.nl) by the company Letslab delivering solutions, S.L.U., registered in the Barcelona Commercial Registry, T 44212, F 92, H 449745, with registered office at avenida Vía Augusta, 15-25, Sant Cugat Business Park, 08174 Sant Cugat del Vallès (Barcelona), with Tax Identification Number (C.I.F.) B66235615, hereinafter LETSCOPES, to natural or legal persons acting in the course of their professional, business or any other activity.

Any order placed with LETSCOPES implies the Customer's acceptance of the Conditions in force on the date on which the order is placed.

Governing law and competent jurisdiction. The interpretation and performance of the Conditions, as well as all acts arising therefrom, shall be governed by Spanish law.

2. PRODUCTS

Product shall mean all goods and services sold by LETSCOPES, which reserves the right to modify the product range owing to market fluctuations or typographical errors, and to replace the products ordered with others of no lesser quality.

LETSCOPES shall inform the Customer before dispatching any replacement product. The supply of the product is limited to its delivery to the place indicated in the order accepted by LETSCOPES and does not include any associated service, such as the assembly or installation of the product.

3. ORDERS

Orders may be placed by the following means:

• Through the website www.letscopes.com (and the domains for each country), 24 hours a day, every day of the year.
• By email to hola@letscopes.com, 24 hours a day.
• By telephone on +34 93 715 21 18, Monday to Friday from 9:00 to 17:00 (CET).

LETSCOPES shall notify the Customer of receipt of the order and of its terms (customer details, products, prices, delivery times, payment terms, etc.).

LETSCOPES may provide quotations according to the requirements expressed by the Customer. Quotations shall be valid for 15 calendar days from their date, unless a different period of validity is indicated.

4. PRICE AND PAYMENT TERMS

The prices shown on the website include the applicable VAT and are those in force at the time the order is placed (errors and omissions excepted). Where the Customer is a company from another European Union country with a valid intra-Community VAT number, the reverse charge mechanism applies and the invoice is issued without VAT.

The prices of products not shown on the website shall be communicated to the Customer in the quotation or in the order confirmation. Should there be any discrepancy between the price indicated on the website and the actual price of the product, LETSCOPES shall inform the Customer of the final price before dispatching the goods.

Orders are paid for at the time they are placed, unless the Customer holds an open account with LETSCOPES, subject to a prior financial risk assessment.

Payment may be made by card, PayPal, bank transfer or any of the other methods offered at checkout.

Any late payment, whether of a single item or of a single invoice, shall give rise, following formal notice to the Customer by registered letter with acknowledgement of receipt, to the application of late payment penalties equivalent to one and a half times the statutory interest rate in force on the due date, without prejudice to any other rights of LETSCOPES. In the event of late payment, LETSCOPES may declare all of the Customer's outstanding payments immediately due, terminate the sale or make the acceptance of new orders conditional upon the Customer being up to date with its payments.

Under no circumstances may payments owed to LETSCOPES be suspended or be subject to reduction or set-off without its prior written consent.

5. RETENTION OF TITLE

LETSCOPES shall retain title to the goods delivered until the full price has been paid. Until that time, the Customer may not lease, assign or lend the use of the products to third parties, nor create any encumbrances over them, and shall store them in such a way that they are kept in good condition and can be identified as the property of LETSCOPES.

The Customer shall immediately notify LETSCOPES in writing of any seizure, retention or third-party claim affecting the products, and shall inform the authority or person executing the order of the ownership rights of LETSCOPES.

6. DELIVERY AND SHIPPING

Products shall be delivered to the place indicated by the Customer, in any of the European Union countries available at checkout.

Shipping is free of charge to all European Union countries available at checkout, with no minimum order.

Upon receipt, the Customer must check (I) that the products and packages are in good condition, (II) the number of packages received and (III) that they match the delivery note. In the event of any issue, the Customer must record its reservations on the carrier's delivery note and communicate them in writing to LETSCOPES within a maximum period of 24 hours. If no communication is received within this period, the delivery shall be deemed to have been accepted.

LETSCOPES may deliver the products of an order in full or in part.

7. DELIVERY TIMES

Products are dispatched from the manufacturer's warehouse and the usual delivery time is 4 to 10 working days. This period is approximate. Should any delay occur, LETSCOPES shall inform the Customer and offer the best solution. If none of the solutions proposed is satisfactory, the Customer may cancel the order and request a refund.

8. WARRANTY

In accordance with the legislation in force, all sales of products are subject to the statutory warranties and, in particular, to liability for latent defects.

Irrespective of the statutory warranty, the manufacturer guarantees its products from the invoice date for the period stipulated by each manufacturer. This warranty covers, at the manufacturer's discretion, the repair of the product or its replacement with another product offering at least equivalent functions.

Unless otherwise agreed in writing with LETSCOPES, the packaging and shipping costs for the return and reshipment of the product under warranty shall be borne by the Customer.

In order to benefit from the warranty, the Customer must (I) notify LETSCOPES of the defect in writing; in the case of visible defects, within 30 calendar days following delivery; (II) return the product in its original packaging or in equivalent packaging that protects it, together with the invoice, and (III) LETSCOPES must verify the defect.

The warranty does not cover: products past their expiry date, abnormal use or negligence in storage or maintenance, normal wear and tear, or the modification of the product or its incompatibility with other materials.

9. NOTICES

Unless otherwise indicated, notices of cancellation, modification and other operations relating to orders shall be given by email. The parties acknowledge that emails shall have the same evidential value as communications with acknowledgement of receipt.

10. LIABILITY

Save for mandatory statutory provisions to the contrary: LETSCOPES shall only be liable for damage caused by its proven and sole fault; under no circumstances shall it be liable for indirect damage, such as loss of business, customers, profit, reputation or data; and no claim may be brought against it more than 6 months after the event giving rise to the liability, nor may its liability exceed the amount, excluding VAT, paid by the Customer for the order concerned.

11. FORCE MAJEURE

The obligations of LETSCOPES shall be suspended for the duration of any events beyond its control and that of its suppliers, such as fires, interruption of IT or telecommunications systems, transport incidents, strikes, production breakdowns or import or export embargoes. Should such events last for more than 6 consecutive months, the order may be cancelled by mutual agreement. Force majeure shall not give rise to any right to compensation or damages.

12. DATA PROTECTION

The processing of the Customer's personal data is governed by Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018, as explained in our Privacy Policy. The data controller is Letslab delivering solutions, S.L.U. The Customer may at any time exercise their rights of access, rectification, erasure, objection, restriction and portability by writing to hola@letscopes.com.

13. GOVERNING LAW AND COMPETENT JURISDICTION

The applicable legislation is Spanish law. For the resolution of any disputes arising from the interpretation or application of these Conditions, the parties submit to the courts and tribunals of Barcelona, unless the law establishes another mandatory jurisdiction.
